MANDATE

Safeguard the legal interest of all government-owned and controlled corporations (GOCCs), government instrumentalities with corporate powers (GICPs), government corporate entities (GCEs) as defined in Republic Act 10149, otherwise known as the “GOCC Governance Act of 2011”, as well as their subsidiaries, and corporate offsprings, including ecozones and water districts, all collectively referred to as “government corporations”

  • Exercises control and supervision over all legal departments or divisions of client corporations as mandated by EO 292 or the Administrative Code of 1987.
  • Renders legal services (handling of cases, rendering of opinions and reviewing and/or drafting of contracts) to all client corporations as mandated by EO 292 or the Administrative Code of 1987.
  • Acts as corporate officers of the client corporations.
  • Assists in administrative cases involving client corporations.
  • Acts as member of task forces and special committees of client corporations.
  • Acts as in-house counsel or detailed attorneys for client corporations without legal departments.
  • Acts as detailed counsel on request even for clients with legal departments.
  • Hears and recommends actions on conflicts, disputes, claims and/or counterclaims between and among client corporations as mandated by P.D. 242.
  • Enforces and implements the Property Insurance Law (R.A. 656, as amended)
  • Other special functions as may be requested by client corporations.

OGCC Frontline Services

The OGCC provides the following frontline services:

1. Legal Services

The OGCC delivers comprehensive legal assistance to GOCCs, including:

  • Case handling and representation of GOCCs in the litigation of cases brought before the courts or quasi-judicial bodies
  • Review and, if necessary, recommend revisions or modifications on contracts referred by GOCCs
  • Render legal opinions in all important legal questions referred by the GOCCs
  • Dispute resolution through mediation, arbitration, and other alternative modes

2. Corporate Support

The OGCC extends corporate governance assistance to GOCCs through:

  • Serving as corporate officers including acting as Corporate Secretary, Compliance Officer, or other governance-related positions
  • Participation in administrative investigations, fact-finding inquiries, and related proceedings
  • Representation on boards, committees, and similar bodies requiring legal expertise

3. Oversight of GOCC Legal Departments

The OGCC exercises supervisory authority over the legal units of GOCCs, which includes:

  • Issuance of legal directives, guidelines, and advisories
  • Monitoring, assessment, and coordination of cases and legal actions involving GOCCs
  • Providing legal assistance to GOCCs without established legal departments
  • Conduct of legal conferences
  • Preparation and submission of position papers on relevant legal issues
